A. RULES OF ONLINE BEHAVIOR 1. You are prohibited from posting any unlawful, libelous, threatening, abusive, disruptive, or obscene material or message that would violate the rights of any person or constitute a criminal offense, or otherwise violate any local, national, or international law. Use of the Life in Asia network of sites ("LIA SITES") for advertising or promotion of a commercial product or service without the express, written consent of Life in Asia, Inc., is prohibited. 2. You are prohibited from uploading or reproducing any content or images protected by copyright without obtaining permission of the copyright owner. 3. Information and materials which you find published on LIA SITES may be the property of Life in Asia, Inc., or another Information Provider, and are protected by international copyright law. You may NOT copy, redistribute, or commercially use such materials without the express written permission of the owner(s) of such information or materials. 4. Life in Asia, Inc. may terminate your account if it believes, in its sole discretion, that you have violated any of the Rules of Online Behavior. B. REPRESENTATIONS, WARRANTIES AND ACKNOWLEDGMENTS 1. You warrant that all material that you submit for publication or posting on the LIA SITES will not violate or infringe any copyright, trademark, patent, statutory, common law, or proprietary rights of others, or contain anything obscene or libelous. By submitting information or materials owned by you for publication or posting on, or distribution through, the LIA SITES, you will be deemed to have granted Life in Asia, Inc. non-exclusive permission to redistribute by transmission the information or materials worldwide without charge or liability. Life in Asia, Inc. reserves the right, in its sole discretion, but is under no obligation, to refuse to post, delete or edit information that you submit or enter onto the LIA SITES, including, but not limited to, electronic message boards, databases, and software libraries. 2. If ordering merchandise and/or services from anyone other than Life in Asia, Inc., through any commercial service accessible via the LIA SITES, all transaction terms including but not limited to purchase terms, payment terms, warranties, guarantees, maintenance, and delivery, are solely between you and the seller of the merchandise or services. Life in Asia, Inc. makes no warranties or representations whatsoever with regard to any goods or services provided by the seller of the merchandise or services and shall not be liable for the costs or damages arising, either directly or indirectly, from the products or services or from the actions or inactions of the Seller. 3. The LIA SITES are provided on an "as is, as available" basis. No warranties, express or implied, including, but not limited to those of merchantability or fitness for a particular purpose, are made with respect to the LIA SITES or any information or software therein. Under no circumstances shall Life in Asia, Inc. be liable for any damages that result from the use of or inability to use the LIA SITES. 4. You agree to indemnify and hold Life in Asia, Inc., its parents, subsidiaries, officers and employees, harmless from any claims and expenses, including reasonable attorney's fees, related to your violation of this Agreement. 5. This Agreement will remain in effect until either party elects to terminate the Agreement in accordance with the Terms of this Agreement, or unless and until Life in Asia, Inc. notifies you that a renewal agreement must be entered. 6. This Agreement will be governed by and construed in accordance with the Laws of the State of California, United States of America.
